Venture Management Management Contract Outline
Venture Management has been solving the Mission Innovation challenges for 22 years. We are designed to be the subcontractor of choice for The Institute for Mission Innovation.
This proposed contract is for professional services and licensing of Venture Management's Bridging Innovation, Venture Manager and Active Investor methodologies and intellectual property.
Offerings & Fees

Formation Services & Management Augmentation
From Ideation to Compliance - Base Contract
Jason Gayl and Brandon Friedman will augment the IFMI team to support all formation activities, including developing the business plans, grant and proposal collateral, outreach programs, partnership agreements and financial and administrative oversight.
Venture Management will receive a $40,000 monthly retainer to cover Jason Gayl and Brandon Friedman's labor. IFMI will accrue this balance on a monthly basis, incurring a 5% annual interest, until enough capital has been raised to start paying the central team.
All expenses will be submitted for preapproval to IFMI. Travel outside of the Washington, DC region will be reimbursed by IFMI. Any meeting or conferences or other expenses incurred in the ordinary course of business will be reimbursed by IFMI.

Subcontractor for Managed Outreach Services & SETA
Staffing IMFI Projects - Marketing Content & Event Production
As experts in Mission Innovation, we intimately understand the messaging and the events needed to drive collaboration. We have a deep bench of content and event production, subject matter experts.
We will provide these services as part of our Base Contract, with any additional costs being approved in advance by IMFI, charge at a cost plus fixed fee of 15% basis.
It is anticipated that David Plevan and Hannah Gaber will be recurring labor providers, and that the marketing costs, event production costs will be significant costs of operations.
Staffing IMFI Projects - Systems Engineering & Technical Analysis
Similarly, we understand the requirements of government agencies, particularly on capabilities scouting, and partnership development.
We will provide these services as part of our Base Contract, with any additional labor costs being approved in advance by IMFI, charge at a cost plus fixed fee of 25% basis.

Licenses
Course Work
Venture Management will receive a 25% share of any net-revenue generated from Seminars and Classes.
Events
Venture Management will receive a 20% share of any net-revenue from Conferences or Excursions.
Client Engagements
Venture Management will receive a 15% share of any net-revenue generated from Advisory Services to Facilitators across the US and NATO allied countries that are formed based on the Venture Management methodologies.
Venture Management retains its intellectual property in the books Bridging Innovation and The Venture Manager.
Spark & Denice Toolkits
Venture Management will receive a 60% share of any revenue generated from sales of Spark Database and the Denise Sales Funnel toolkits, sold to Facilitators across the United States and NATO allied countries.
Intellectual Property Rights
Venture Management retains its intellectual property in the business courses it develops, the books Bridging Innovation and The Venture Manager, and the software Spark and Denice.
Venture Management provides IFMI has exclusive distribution rights to the Mission Innovation Facilitator community in the United States and in NATO allied countries.
Initial Term
The term of this agreement is for 3 years, with automatic one year extensions, unless notified 180 days before the end of the initial term.
Period of Performance
Period of Performance begins April 16, 2026, and ends April 15, 2029.
Access to Data and Reporting
Not only as part of the finance and administration responsibilities incurred by Venture Management, but as a key partner, Venture Management will be entitled to participate in Board Meetings, Management Meetings and entitled to receive copies of all operations and financial documents.
